1. Introduction

Welcome to Texora Solutions ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our communication and marketing solutions, including Bulk SMS, Transactional SMS, Promotional SMS, WhatsApp Marketing, Virtual Numbers, and IVR/Voice Call Services (collectively, the "Services").

By accessing or using our Services, you ("Client", "you", or "your") agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

2. Eligibility & Account Setup

  • You must be 18 years or older and legally capable of entering into binding agreements.
  • Businesses/organizations must provide valid business information, KYC, and DLT registration (if applicable).
  • You are responsible for maintaining accurate and updated account details.
  • You are solely responsible for safeguarding your account login credentials.

3. Scope of Services

We provide:

  • Bulk SMS (Transactional & Promotional): for marketing, alerts, and transactional updates
  • WhatsApp Marketing: bulk and personalized communication using WhatsApp channels
  • Virtual Numbers: dedicated business numbers for inbound/outbound calls
  • IVR & Voice Call Services: automated call management, surveys, and notifications

Important: We are a service provider, not the sender of your messages. You bear sole responsibility for the content, legality, and recipient permissions of communications you send using our platform.

4. User Responsibilities

You agree to:

  • Use the Services only for legal, ethical, and compliant purposes
  • Obtain prior consent from recipients for promotional messages (as per TRAI & WhatsApp guidelines)
  • Follow TRAI DLT requirements (header, template, entity registration for SMS)
  • Not misuse Services for spam, fraud, phishing, impersonation, or illegal content
  • Ensure all templates/messages comply with regulations before sending
  • Bear full responsibility for your data, contacts, and message content

5. Payments, Credits & Billing

  • All payments must be made 100% in advance
  • Pricing is based on plans/credits purchased
  • Credits are deducted for every message/call attempted as per operator/system records

Refunds:

  • No refunds once credits are consumed/used
  • Refunds (if approved) are only for unused credits in case of non-serviceability by us
  • Taxes (GST or applicable levies) are additional

6. Prohibited Uses

You are strictly prohibited from using our Services for:

  • Sending unsolicited messages (spam)
  • Content that is obscene, defamatory, abusive, misleading, fraudulent, or illegal
  • Promotions of gambling, tobacco, alcohol, adult content, financial scams, or prohibited items
  • Messages impersonating government agencies, banks, or other entities without authorization
  • Violating DND/NCPR rules
  • Using WhatsApp services in violation of WhatsApp's Business Policy

Violation may result in: immediate termination, legal action, and reporting to authorities.

7. Service Availability & Limitations

  • While we strive for 99% uptime, we do not guarantee uninterrupted services
  • Delivery depends on telecom operators, DLT platforms, internet connectivity, WhatsApp policies, and recipient handset conditions

We are not responsible for message failures caused by:

  • Recipient numbers being switched off, out of coverage, or invalid
  • DND restrictions or regulatory blocks
  • WhatsApp account restrictions
  • Scheduled downtimes or operator-side issues are outside our control

8. Refund & Cancellation Policy

  • Payments are non-refundable once credits/services are activated
  • Cancellation requests must be made in writing/email
  • In rare cases of technical failures directly caused by us, compensation will be given in the form of equivalent credits, not cash refunds

9. Data Privacy & Security

  • We respect your privacy and confidentiality
  • You retain ownership of your customer data, contacts, and content
  • We will not sell, share, or misuse your data
  • You authorize us to transmit communications on your behalf as per your instructions
  • You must ensure compliance with data protection and consent requirements when uploading contacts

10. Liability Disclaimer

We act only as a platform provider and are not responsible for:

  • Delayed, undelivered, or failed messages due to third-party/operator restrictions
  • Any legal claims or penalties arising from your content
  • Damages caused by misuse of your account

Our liability (if any) is limited to the amount you paid for Services in the last 30 days only.

11. Compliance with Law

You must follow:

  • TRAI & DOT DLT regulations for SMS
  • WhatsApp Business Policy & Meta Guidelines
  • Indian IT Act, 2000 and amendments
  • Any other applicable state/national laws

Failure to comply may result in termination and legal action.

12. Suspension & Termination

We may suspend/terminate Services without notice if you:

  • Violate these Terms
  • Send prohibited/illegal content
  • Fail to comply with regulatory requirements
  • Engage in fraudulent activity

You may terminate Services with written notice, but no refunds will be provided for unused credits.

13. Indemnification

You agree to indemnify and hold harmless TexoraSolutions and its affiliates from any claims, damages, penalties, or expenses arising out of:

  • Your use of the Services
  • Content you send using our platform
  • Violations of law or third-party rights

14. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of India
  • Disputes will be subject to the jurisdiction of courts in Greater Noida, India
  • Arbitration may be considered before litigation if mutually agreed

15. Amendments

We may update these Terms at any time. Updates will be posted on our website, and continued use of Services will be deemed acceptance of the updated Terms.
